This Agreement is entered into by the Affiliate or Influencer creating this account and CattleBros Steak & Seafood LLC—1. Purpose- The Company desires to engage Affiliate or Influencer as a promotional partner to generate visibility and drive product sales through the Affiliate or Influencer's personal brand and social platforms.—2. Term & Termination- This Agreement shall commence on the Effective Date of this Affiliate account creation and continue on a rolling month-to-month basis unless terminated by either party with 14 days written notice. CattleBros may terminate this Agreement immediately if Affiliate or Influencer violates brand guidelines, fails to disclose sponsorships, or misrepresents the Company. —3. Scope of Work- Affiliate or Influencer agrees to create and publish content promoting CattleBros, including but not limited to Instagram reels, TikToks, Facebook content, and usage of tracking codes. All content must reflect CattleBros values, and not promote direct competitors. —4. Commission & Compensation- A. One-Time Sales: 10% commission on all qualified direct sales. B. Subscription Sales: 10% commission for months 1-6, and 5% commission for months 7-18. No commissions apply after month 18 unless renegotiated. —5. Payment Terms- CattleBros Affiliate/ Influencer Agreement Monthly payout by the 15th of the following month via PayPal or ACH. Minimum payout is $50. Adjustments may occur for refunds or fraud. —6. FTC Compliance & Disclosures- Affiliate or Influencer must include clear #ad or #sponsored tags per FTC guidelines. Failure to comply may result in termination. —7. Content Use & Ownership- CattleBros retains non-exclusive rights to reuse Affiliate or Influencer-created content. Content must not be altered without approval. —8. Exclusivity- Affiliate or Influencer agrees not to promote competing meat or subscription food services during this agreement and for 30 days after. —9. Independent Contractor Status- This is an independent contractor relationship. Affiliate or Influencer is responsible for their own taxes and legal compliance. A W-9 will be requested and a 1099-NEC will be issued once payments made to Affiliate or Influencer exceed $600 threshold in a calendar year.—10. Governing Law & Disputes- This Agreement is governed by the laws of Nevada. Disputes will be resolved via binding arbitration in Washoe County, NV. —11. Entire Agreement- This document represents the full agreement and overrides any prior discussions. Changes must be in writing.
